This Server Temporary Access Agreement ("Agreement") is made and entered into as of the date of credential assignment ("Effective Date"), by and between Brandology Pros ("Brandology Pros") and possessor of collaborator credentials ("Collaborator").
Purpose
The purpose of this Agreement is to outline the terms and conditions under which Collaborator may access and perform technical tasks on servers managed by Brandology Pros on behalf of its clients ("Client Servers") at the request of the client.
Access Rights
Brandology Pros grants Collaborator temporary access to Client Servers solely for the purpose of performing technical tasks as requested by the client. Access shall be limited to the specific servers specified in each request and shall not extend beyond the agreed-upon timeframe of (10) days from date of assignment.
Responsibilities of Collaborator
a. Collaborator agrees to use the access granted solely for the intended purpose and in compliance with all applicable laws, regulations, and Brandology Pros' policies.
b. Collaborator shall not disclose, share, or transfer access credentials provided by Brandology Pros to any third party without prior written consent.
c. Collaborator shall take all necessary precautions to maintain the security and confidentiality of the access credentials and any data accessed during the performance of technical tasks.
d. Collaborator shall promptly notify Brandology Pros of any unauthorized access or suspected security breaches involving Client Servers.
Limitation of Liability
Brandology Pros shall not be liable for any damages, losses, or liabilities arising out of Collaborator's use of access to Client Servers, including but not limited to any loss of data, interruption of service, or unauthorized access by third parties.
Termination
This Agreement shall automatically terminate upon the completion of the technical tasks specified by the client or upon written notice from Brandology Pros. Additionally, Brandology Pros reserves the right to terminate access immediately if Collaborator breaches any provision of this Agreement or any other reason necessary to protect the integrity of our clients intellectual property and/or digital assets.
Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of access to Client Servers and not to disclose such information to any third party without prior written consent.
